Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the ForgeWOD platform, including the coach dashboard, athlete application, related websites, and any associated services (collectively, the “Service”), provided by ForgeWOD (“ForgeWOD,” “we,” or “us”). By creating an account, accepting an invitation, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

“ForgeWOD” refers to MJ Albanna, an individual operating the ForgeWOD project as a sole proprietorship. ForgeWOD is currently in a pre-formation trial phase and intends to form a limited liability company (anticipated name: ForgeWOD, LLC). ForgeWOD may assign these Terms, without further notice or consent, to ForgeWOD, LLC (or any successor entity) upon its formation, or to any acquirer of substantially all of the ForgeWOD business or assets, as also described in Section 3 of the Privacy Policy; on assignment, the assignee succeeds to all of ForgeWOD's rights and obligations under these Terms.

If you are using the Service on behalf of a gym, business, or other entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

2. Eligibility & Accounts

You must be at least 16 years old to create an account. If you are between 16 and 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. You agree to provide accurate, current, and complete information at registration and to keep that information up to date.

You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately of any unauthorized access at security@forgewod.com.

3. Subscriptions, Billing & Trials

Some features of the Service are offered on a subscription basis. Pricing and feature availability are described on our pricing page or in the order form you sign. Unless stated otherwise:

• Subscriptions renew automatically at the end of each billing period until canceled.
• Fees are non-refundable except where required by law or expressly stated.
• We may change pricing with at least 30 days' notice; price changes take effect at the start of the next billing period.
• Free trials convert to paid subscriptions at the end of the trial period unless canceled before that time.

Payments are processed by third-party payment processors. By providing payment information, you authorize us and our processors to charge the applicable fees, taxes, and other charges to your selected payment method.

4. License to Use the Service

Subject to these Terms, ForgeWOD grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal training or for operating your gym, as applicable. You may not (a) reverse engineer, decompile, or attempt to derive the source code of the Service; (b) resell, sublicense, or commercialize the Service or any AI-generated programming except as part of normal coach-to-athlete delivery within your gym; (c) use the Service to build a competing product; or (d) use the Service in any way that violates applicable law.

5. Programming, Coaching Judgment & Medical Disclaimer

ForgeWOD is a software platform that helps coaches generate, review, and deliver fitness programming, including programming drafted with the assistance of artificial intelligence. The Service does not provide medical advice, diagnosis, or treatment. Programming surfaced by the Service is intended for healthy adults and assumes that a qualified coach has reviewed and approved the programming before it is delivered to an athlete.

You acknowledge that:

• AI-generated programming may contain errors, inappropriate scaling, or recommendations that do not account for your specific medical condition.
• Coaches retain professional responsibility for the programming they approve and deliver to athletes.
• Athletes are responsible for scaling, modifying, or skipping any movement that is unsafe for them and for following the medical clearance and safety guidance in the ForgeWOD Liability Waiver and Release of Claims (the “Waiver”).
• You should consult a licensed physician before beginning any exercise program, particularly if you have any condition that could be aggravated by physical activity.

6. Acceptable Use

You agree not to use the Service to:

• Upload, post, or transmit content that is unlawful, defamatory, harassing, or infringing.
• Impersonate any person or misrepresent your affiliation with a gym, athlete, or organization.
• Interfere with the integrity or performance of the Service, including by introducing malware, attempting to gain unauthorized access, or scraping data at scale.
• Use the Service to provide medical advice, sell supplements without authorization, or otherwise act outside your professional scope as a coach.
• Train competing AI models on data exported from the Service.

7. Customer Data & Privacy

“Customer Data” means content you, your coaches, or your athletes submit to the Service, including profile information, injury history, training logs, results, and notes. As between you and ForgeWOD, you retain all rights in Customer Data. You grant ForgeWOD a worldwide, non-exclusive license to host, copy, transmit, and display Customer Data solely as needed to provide and improve the Service, prevent abuse, comply with law, and produce de-identified, aggregated analytics that do not identify you, your gym, or your athletes.

Our collection and handling of personal information is described in the Privacy Policy, which is incorporated into these Terms.

8. Intellectual Property

The Service, including the underlying software, the ForgeWOD name and logos, and the static portions of the movement library and prompt system, are the exclusive property of ForgeWOD and its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any ownership of the Service to you.

You may export weekly cards and athlete records you create or receive for your gym's internal use. Republication of ForgeWOD-branded materials outside of normal coach-to-athlete delivery requires our prior written consent.

9. Termination

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay fees, or use the Service in a way that creates risk or legal exposure for ForgeWOD, your gym, or your athletes. Upon termination, your right to access the Service ends; we will make Customer Data available for export for at least 30 days unless prohibited by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FORGEWOD SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FORGEWOD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI-GENERATED PROGRAMMING WILL BE APPROPRIATE FOR ANY INDIVIDUAL ATHLETE WITHOUT QUALIFIED COACH REVIEW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEWOD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FORGEWOD'S AGGREGATE LIABILITY UNDER THESE TERMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FORGEWOD FOR THE SERVICE DURING THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless ForgeWOD, its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your Customer Data, (c) your violation of these Terms, or (d) any injury arising from physical training conducted using programming delivered through the Service.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts. Each party waives the right to a jury trial and to participate in any class or representative action.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least 30 days before the changes take effect, and we may require you to re-accept the updated Terms before continuing to use the Service. Continued use of the Service after the effective date of an updated version constitutes acceptance.
